貨物應具有防潮、防鏽蝕、防震並適合於遠洋運輸的包裝，由於貨物包裝不良而造成的貨物殘損、滅失應由賣方負責。賣方應在每個包裝箱上用不褪色的顏色標明尺碼、包裝箱號碼、毛重、淨重及“此端向上”、“防潮”、“小心輕放”等標記。

13.付款條件(TermsofPayment)：
(1)信用證方式：買方應在裝運期前/合同生效後__日，開出以賣方為受益人的不可撤銷的議付信用證，信用證在裝船完畢後__日內到期。

15.裝運條款(TermsofShipment)：
(1)FOB交貨方式
賣方應在合同規定的裝運日期前30天，以____方式通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船隻按期到達裝運港後，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物越過船弦並脱離吊鈎以前一切費用和風險由賣方負擔。

(2)CIF或CFR交貨方式
賣方須按時在裝運期限內將貨物由裝運港裝船至目的港。在CFR術語下，賣方應在裝船前2天以____方式通知買方合同號、品名、發票價值及開船日期，以便買方安排保險。

16.裝運通知(ShippingAdvice)：

貨物品質規格必須符合本合同及質量保證書之規定，品質保證期為貨到目的港__個月內。在保證期限內，因製造廠商在設計製造過程中的缺陷造成的貨物損害應由賣方負責賠償。

18.檢驗(Inspection)(以下兩項任選一項)：
(1)賣方須在裝運前__日委託______檢驗機構對本合同之貨物進行檢驗並出具檢驗證書，貨到目的港後，由買方委託________檢驗機構進行檢驗。

(2)發貨前，製造廠應對貨物的質量、規格、性能和數量/重量作精密全面的檢驗，出具檢驗證明書，並説明檢驗的技術數據和結論。貨到目的港後，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規格和數量/重量進行檢驗，如發現貨物殘損或規格、數量與合同規定不符，除保險公司或輪船公司的責任外，買方得在貨物到達目的港後__日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由於設計或製造上的缺陷而發生損壞或品質和性能與合同規定不符時，買方將委託中國商檢局進行檢驗。
Themanufacturersshall，beforedelivery，makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality，specifications，performanceandquantity/weight，rarrivalofthegoodsattheportofdestination，theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/magesofthegoodsarefound，orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract，exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany，theBuyershall，within_____daysafterarrivalofthegoodsattheportofdestination，claimagainsttheSeller，seofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract，theBuyershall，duringtheguaranteeperiod，requestCCIBtomakeasurvey.
19.索賠(Claim)：
買方憑其委託的檢驗機構出具的檢驗證明書向賣方提出索賠(包括換貨)，由此引起的全部費用應由賣方負擔。若賣方收到上述索賠後______天未予答覆，則認為賣方已接受買方索賠。
ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)laimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin______daysaftertheSellerreceivedtheBuyer‘sclaim.
20.遲交貨與罰款(LatedeliveryandPenalty)：
除合同第21條不可抗力原因外，如賣方不能按合同規定的時間交貨，買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每__天收__%，不足__天時以__天計算。但罰款不得超過遲交貨物總價的____%.如賣方延期交貨超過合同規定__天時，買方有權撤銷合同，此時，賣方仍應不遲延地按上述規定向買方支付罰款。
買方有權對因此遭受的其它損失向賣方提出索賠。

ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.
21.不可抗力(ForceMajeure)：
凡在製造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發生上述情況時，賣方應立即通知買方，並在__天內，給買方特快專遞一份由當地民間商會簽發的事故證明書。在此情況下，賣方仍有責任採取一切必要措施加快交貨。如事故延續__天以上，買方有權撤銷合同。

22.爭議的解決(Arbitration)：
凡因本合同引起的或與本合同有關的任何爭議應協商解決。若協商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

23.通知(Notices)：

25.附加條款(Additionalclause)：
本合同上述條款與本附加條款牴觸時，以本附加條款為準。
